This English version is for information only; the German version is legally binding.

§ 1 Scope, businesses only

(1) These General Terms and Conditions apply to all contracts you conclude with us, octogon GmbH, Roseggerstraße 16, 8700 Leoben, Austria, via the online shop www.octogon.org.

(2) Our offer is aimed exclusively at businesses within the meaning of § 1 of the Austrian Consumer Protection Act (KSchG) and § 14 of the German Civil Code, i.e. natural or legal persons and partnerships acting in the exercise of their commercial or independent professional activity when concluding the contract. We do not conclude contracts with consumers via the online shop. By placing an order you confirm that you are acting as a business. We may request proof (e.g. VAT ID or company register extract) and reject orders without such proof.

(3) Deviating or supplementary terms of the customer do not become part of the contract, even if we do not expressly object to them.

§ 2 Conclusion of contract

(1) The presentation of products in the online shop is not a binding offer but an invitation to order.

(2) You place the desired goods in the cart and proceed via "Checkout" to enter company, delivery and billing details and to choose the shipping and payment method. Before submitting, you see a summary of your order and can check, correct or cancel your entries. If you choose a payment service such as PayPal or Klarna, you may be redirected to its website and then back to the shop.

(3) By clicking the button to complete the order with obligation to pay, you make a binding offer to purchase. We confirm receipt by email; this confirmation of receipt is not yet an acceptance. The contract is concluded when we accept the order by separate email (order confirmation) or by shipping the goods.

(4) Requests for quotations are non-binding for you. Our quotations in text form (e.g. by email) are valid for 30 days unless stated otherwise.

(5) Orders are processed by email. You are responsible for ensuring that the email address provided is correct and that our emails are not blocked by spam filters.

§ 3 Prices

(1) All prices are net prices in euros plus statutory VAT and plus shipping costs. Shipping costs are shown on the Payment and shipping page and itemised at checkout.

(2) Deliveries to businesses in another EU member state with a valid VAT ID are made as tax-exempt intra-Community supplies. For deliveries outside the European Union, the customer bears customs duties, import charges and fees.

§ 4 Payment

(1) The available payment methods are listed on the Payment and shipping page and shown at checkout.

(2) For purchase on invoice, the invoice amount is due within 30 days of the invoice date without deduction. In all other cases the purchase price is due on conclusion of the contract.

(3) For payment via PayPal (PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg) or Klarna (Klarna Bank AB (publ), Sveavägen 46, 111 34 Stockholm, Sweden), their terms of use also apply, to which you will be referred during payment.

(4) In the event of late payment, you owe default interest at the statutory rate (§ 456 UGB) and the costs necessary for appropriate legal enforcement.

(5) You may only set off counterclaims that we have acknowledged or that have been finally established by a court. You may only exercise a right of retention for claims arising from the same contractual relationship.

§ 5 Delivery and transfer of risk

(1) Delivery countries, shipping costs and delivery times are stated on the Payment and shipping page or in the respective offer. Partial deliveries are permitted where reasonable for you.

(2) The risk of accidental loss and accidental deterioration passes to you when the goods are handed over to the carrier.

§ 6 Retention of title

(1) The goods remain our property until all claims arising from the ongoing business relationship have been settled in full. Before ownership passes, pledging or transfer by way of security is not permitted.

(2) You may resell the goods in the ordinary course of business. In this case you hereby assign to us all claims in the amount of the invoice that arise from the resale; we accept the assignment. You remain authorised to collect the claims as long as you meet your payment obligations properly.

(3) If the goods subject to retention of title are combined or mixed, we acquire co-ownership of the new item in proportion of the invoice value of our goods to the other processed items.

(4) At your request we release securities to the extent that their realisable value exceeds the claims to be secured by more than 10%. The selection is at our discretion.

§ 7 Warranty and notice of defects

(1) You must inspect the goods immediately on receipt and give written notice of obvious defects, missing items and transport damage without delay, at the latest within 7 days of delivery, stating the type and extent of the defect; hidden defects without delay after discovery. § 377 UGB applies. Transport damage must also be noted with the carrier.

(2) Only our product descriptions and data sheets are deemed the agreed quality, not other advertising or public statements.

(3) For justified defects we provide warranty at our option by repair or replacement. If this fails after two attempts, you may demand a price reduction or – for defects that are not merely minor – withdraw from the contract.

(4) The warranty period is 6 months from delivery. The presumption of defectiveness under § 924 ABGB is excluded. The shortened period does not apply in cases of intent or gross negligence, fraudulently concealed defects, an assumed guarantee or recourse claims under § 933b ABGB.

§ 8 Liability

(1) We are liable for damage only in cases of intent and gross negligence. Liability for slight negligence is excluded; this does not apply to personal injury.

(2) Where our liability is excluded or limited, this also applies to our employees and vicarious agents. Liability under the Product Liability Act remains unaffected.

(3) Selecting the goods for the intended application and their proper installation and operation are your responsibility. Our advice is given to the best of our knowledge on the basis of your information.

§ 9 Returns

There is no statutory right of withdrawal for consumers, as we sell exclusively to businesses. Goods without defects can only be returned by prior agreement with us. Details on the Returns page.

§ 10 Contract language and contract text

The contract language is German. We do not store the contract text in a way that remains accessible to you. You can print or save the order data before submitting; after ordering you receive the order data and these terms by email.

§ 11 Applicable law, place of performance, jurisdiction

(1) Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods and the conflict-of-law rules of private international law.

(2) The place of performance is Leoben. The exclusive place of jurisdiction for all disputes arising from or in connection with the contract is the court with subject-matter jurisdiction for 8700 Leoben. We may also sue you at your general place of jurisdiction.
